KOLL

Case Study of Significant Growth and Value Creation. Successful Exit.

I have known Glen Raiger since late 1989, engaging him as fa full-time employee with Koll Real Estate Services (KRES) in 1990 where he directly reported to me.   During Glen’s employment he held a number of senior management and executive leadership positions within the company including, among many other activities, CEO of Koll Holdings International (KHI), which he created and led.

Mr. Raiger was responsible for expanding KRES nationally and internationally through acquisitions, business development, and organic growth of newly created business initiatives.  He was directly responsible for starting and leading an acquisition program that resulted in 32 acquisitions during his tenure.  Mr. Raiger sourced, structured terms, led negotiations, engaged in due diligence, and developed the formal presentations for Board submission and approval.  He was also instrumental in assisting with the successful transition of those corporate acquisitions.

Also during his tenure with the company, Mr. Raiger started and led the Corporate and Facilities Management Division.  From its inception, which consisted only of Mr. Raiger, a secretary and a strategic plan, he created KRES’ Corporate and Facilities Management Division, which became the fastest (organic) growing division in KRES, and a national leader in this expanding business.

Mr. Raiger’s efforts in growing KRES were instrumental in being able to attract capital for the company.  While KES had a solid, but relatively small, foundational business in property management, its acquisitions, and proven ability to grow organic initiatives under Mr. Raiger differentiated the company from its competitors, allowing it to first sell shares to the public, and then to private equity, with its ability to bring needed debt and equity to maintain and accelerate its growth.

Through a combination of business development, organic growth and strategic acquisitions engineered and led by Mr. Raiger, KRES grew from a captive property management division of a regional real estate developer into an independent national real estate services company that was identified by its peers in a national trade publication as one of the two most feared competitors in the industry—and became the only national real estate services company that had not had a national presence in the prior decade—or previously.  This growth and visibility attracted the attention of CB Commercial (today CBRE), then the nations largest real estate services company—now the world’s largest—and CBRE and KRES merged in 1997.

As a shareholder in both KRES and KHI, Mr. Raiger directly profited from the merger with CBRE and sold those shares, realizing a significant profit.

Having worked closely together at KRES for almost 10 years, and knowing him personally and professionally for 33 years, I have directly observed Mr. Raiger’s business skills and acumen, as well as work habits and personal integrity.  I do not hesitate to recommend him to any company seeking an experienced business leader, coach, or advisor, particularly focused on growth, strategic planning and scaling to achieve revenue and profit targets, and if desired, a successful exit.

Creating Company Value and a Successful Exit

Employee Benefit Advisors

I was founder, owner, and CEO of Employee Benefit Advisors, LLC until my sale and successful exit from ownership.

I have known Glen since 2012 and have had numerous business interactions with him.   We have many times referred our respective clients to each other, Sovren as a business leadership coach, and my company regarding employee benefits.

Working closely with Glen with our shared clients over many years, I have seen firsthand his business acumen, knowledge, and experience and expertise.  I was always impressed with Glen and his knowledge about financial transactions with companies so when it came time to consider selling my own business, I turned to Glen for advice and help.  I engaged Glen to help me evaluate how to best position and recommend ways to maximize the value of the business for sale.  I also engaged him to provide financial review and analysis, help me evaluate the quality of prospective buyers, create and produce documents for potential interested buyers, and to co-lead the negotiations and term sheet development for the ultimate sale.  I worked closely with Glen through this process and was constantly impressed with his preparation and eye for details.

The sales price achieved with Glen’s help was higher than I had originally anticipated, as were the terms of sale.  This could not have happened if it was not for Glen’s direct involvement in all facets of the exit planning and exit/sale process.

Throughout the process, Glen demonstrated superior knowledge of how to maximize the value and sale of a business.  He demonstrated experience with different capital structures, financial and accounting principles and the knowledge and experience to advise me on how best to structure my new role with the acquiring company.   At all times I had every confidence Glen was looking out for me and protecting my interests.

I would not hesitate to recommend Glen to any client wanting to grow and maximize the value of their company and plan and achieve a successful exit/sale of the business.  I would be happy to provide further testimony in this case.

MicroSepTec

Rapid Growth and Capital Formation

From approximately 1999 to 2001 I was Vice President of Government and Regulatory Approvals of a company known as MicroSepTec.

While I was in that role I reported directly to the President and CEO and shareholder of the company, Glen Raiger. He and I worked very closely together for my tenure at the company.  I am personally aware that Glen spent a great deal of time and effort at the company raising millions of dollars resulting in several recapitalization events. The capital was needed to scale and grow the company. I recall he also secured a major investor; I believe the name was the Giant Group, who signed an LOI to invest $10 million to acquire 50% of the company. I am aware that he was also in discussions with US Filter Corporation, Toyota, EVAC and several other companies. Glen worked closely with the Board of Directors and shareholders structuring additional capital investment into the company to fund expansion and growth. During the time Glen was CEO, the company grew rapidly expanding into several markets.

While I do not know the specific details, I know Glen had a successful exit from the Company leaving at his own volition, to become CEO of another company where he was an investor and Board member. That company was CUShopper who I understand recruited him to take the CEO position.

The company was ultimately sold to one of Glen’s original investors and the company

continues to grow and operate in a number of states.
